When engaging our services, you agree to:
Client Ownership: Upon full payment, you receive complete ownership of all deliverables, source code, designs, templates, and assets created specifically for your project. This is transferred on day one of project completion.
Xpertizo IP: We retain ownership of our proprietary tools, frameworks, methodologies, and any pre-existing intellectual property that may be used in the delivery of your project. You are granted a perpetual, non-exclusive licence to use any such components included in your deliverables.
Portfolio Rights: Unless otherwise agreed in writing, Xpertizo reserves the right to display completed work in our portfolio and marketing materials.
We commit to delivering projects within the timelines agreed upon in the project proposal. However, timelines may be affected by factors including but not limited to delayed client feedback, scope changes, or force majeure events. We will communicate any anticipated delays promptly.
Each project includes a defined number of revision rounds as outlined in the proposal. Additional revisions or changes to the agreed scope may incur extra charges. Any scope changes must be agreed upon in writing by both parties before implementation.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business strategies, technical specifications, customer data, and financial information. This obligation survives the termination of the agreement.
Our Warranty: We warrant that our services will be performed in a professional and workmanlike manner, consistent with industry standards.
Disclaimer: Except as expressly stated above, our services are provided "as is" without any warranties, express or implied. We do not guarantee specific business outcomes, revenue increases, or rankings from our services.
To the maximum extent permitted by law, Xpertizo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to the use of our services. Our total liability shall not exceed the total fees paid by the client for the specific project in question.
You agree to indemnify and hold harmless Xpertizo, its directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses arising from your use of our services, your breach of these terms, or any content or materials you provide.
These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Noida, Uttar Pradesh, India.
We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after any modifications constitutes acceptance of the revised terms.
